Acceptance of Terms

Welcome to the Meadows Foundation, Incorporated (“the Foundation” or “we”) website (mfi.org) (the “Site”). The following terms and conditions, together with any documents, which are expressly incorporated by reference, including without limitation the Privacy Policy (collectively, these “Terms of Use”), govern your access to and use of mfi.org, including any content, functionality, and services thereon.

Please read the Terms of Use carefully before you use the Site. BY CLICKING “I AGREE” OR BY ACCESSING, BROWSING AND/OR USING THE SITE (INCLUDING YOUR SUBMISSION OF INFORMATION TO THIS SITE), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF USE, INCLUDING THE PRIVACY POLICY (WHICH IS INCORPORATED HEREIN BY REFERENCE), AND TO COMPLY WITH ALL APPLICABLE UNITED STATES LAWS AND REGULATIONS. You agree that the Terms of Use, combined with your act of using the Site, have the same legal force and effect as a written contract with your written signature and satisfy any laws that require a writing or signature, including any applicable statute of frauds. You further agree that you shall not challenge the validity, enforceability, or admissibility of the Terms of Use on the grounds that it was electronically transmitted or authorized.

This Site is offered and available to users in the United States who are 14 years of age or older. By using this Site, you represent and warrant that you meet the foregoing eligibility requirement. If you do not meet this requirement, you must not access or use the Site.

The information presented on or through the Site is made available solely for general information purposes. We may update the content on this Site from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Site may be out of date at any given time, and we are under no obligation to update such material.

Access to and Use of the Site and the Services

Access to certain portions of the Site is restricted to registered users.  To use our Services, register an account, and fill out a grant application you may be required to provide your name, telephone number(s), and e-mail as well as and other personally identifiable information (“Personal Information”).  By providing such information, you acknowledge and agree that we may, and you specifically authorize us or permitted third parties, to process all requests and transactions related to this Site and its operation, including without limitation registration and grant applications.  You agree to pay all fees and charges, including applicable taxes and surcharges, incurred through your activity on or through the Site and through your account.

Registration and Security.  You agree, represent, warrant, and guarantee that all Personal Information provided by you, either through our Site or when speaking to a Foundation representative over the phone, is true, accurate, complete, up-to-date, and solely yours.  You may not impersonate, imitate, or pretend to be somebody else when providing information. 

When you create an account and subsequently log in, you will be asked to choose a password.   You are responsible for safeguarding and maintaining the confidentiality of your password, and you agree not to disclose your password to any third party.  You will be solely responsible for any activities or actions taken under your account, whether or not you have authorized such activities or actions.  You must notify us immediately if you know or suspect that any unauthorized person is using your password or your account (for example, your password has been lost or stolen, someone has attempted to use the Services or Site through your account without your consent or your account has been accessed without your permission).  We also recommend that you do not store your password through your web browser or other software. We strongly recommend that you do not use the Services or access the Site on any public computer.

User Feedback and Suggestions.  All feedback, suggestions, ideas, and other submissions disclosed, submitted, or offered to the Foundation or otherwise disclosed, submitted, or offered concerning the Site in connection with your use of the Site  (collectively, “Feedback”) will be the Foundation’s property.  Such disclosure, submission, or offer of any Feedback will constitute an assignment to the Foundation of all worldwide rights, titles, and interests in all copyrights and other intellectual property in the Feedback. The Foundation will be under no obligation to (i) maintain any Feedback in confidence; (ii) pay any compensation for any Feedback; or (iii) respond to any Feedback.

Cancellation, Termination, and Account Deletion.  You may cancel your account at any time by emailing us at [email protected].  At cancellation, your account will be inactivated and you will no longer be able to log into your account. The Foundation may terminate your password, account, or use of the Services at any time at any time if you breach or otherwise fail to comply with these Terms.  In addition, the Foundation may terminate an account at any time in its sole discretion.  If Services are suspended, for any  reason, in order to reinstate service, you must re-subscribe to the Services.

Updates and Outages. It may be necessary for the Foundation to perform scheduled or unscheduled repairs, maintenance, or upgrades and such activities may temporarily degrade the quality of the Site or Services or result in a partial or complete outage of the Site or Services.  The Foundation provides no assurance that you will receive advance notification of such activities or that the Site or Services will be uninterrupted or error-free.  Any degradation or interruption of the Site or Services will not give rise to a refund or credit of any fees paid by you.

Reliance on Information Posted.  We reserve the right to modify the Site in our sole discretion without notice.  We will not be liable if, for any reason, any part of the Site or the entirety of the Site is unavailable for any period of time.  Periodically, we may restrict access to portions of the Site or the entirety of the Site.  We may make these modifications at any time and for any reason without prior notice.  You assume any and all risk for decisions based on information contained within the Site.  The information presented on or through the Site is made available solely for general information purposes.  We do not warrant the accuracy, completeness, or usefulness of this information.  Any reliance you place, or decisions you make, on such information is strictly at your own risk.  We disclaim all liability and responsibility arising from any reliance placed on the materials of this Site by you or any other user of the Site, or by anyone who may be informed of any of their contents.

Intellectual Property

This Site contains trademarks, logos, and service marks that are the property of the Foundation and other parties (the “Marks”). In order to keep these Marks distinctive, you are prohibited from using any Marks for any purpose, including, but not limited to, use as metatags on other pages or sites on the Internet without prior written permission of the Foundation or such third party who may own the Marks.

All information and content, including, but not limited to, text, graphics, logos, and any software programs available on or through the Site (“Content”) is protected by copyright and other laws. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works, or using any Content available on or through the Site for commercial or public purposes without our prior written consent. Without in any way waiving any of the foregoing rights, you may download one copy of the Content on the Site solely to facilitate your use of the Site resources for personal and non-commercial purposes, provided you do not delete or change any copyright, trademark, or other proprietary notices. Modification or use of the Content on the Site may subject you to penalties or damages, including, but not limited to, those related to violation of trademarks, copyrights, privacy, and publicity damages.

No permission is hereby granted to you to distribute, modify, post, or frame any Content without our prior written consent.

Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms of Use.

You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” or “spam” or any other similar solicitation.
  • To impersonate or attempt to impersonate the Foundation, our employees or representatives, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm the Site or users of the Site or expose them to liability.
  • In any manner transmit or submit any content to which you do not have the lawful right to copy, transmit, and display (including any content that would violate any confidentiality or fiduciary obligations that you might have with respect to the content);

In any manner transmit or submit any content that infringes the intellectual property rights or violates the privacy rights of any third party (including, without limitation, copyright, trademark, patent, trade secret, or other intellectual property right, or moral right, or right of publicity);

Additionally, you agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site, including their ability to engage in real-time activities through the Site.
  • Share your online portal login, fail to keep your login information secure, or fail to notify the Foundation of unauthorized use of your login information.
  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.
  • Use of any automated system or software, whether operated by a third party or otherwise, to extract any data from the Site for commercial purposes.
  • Modify, translate, alter, adapt, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction), reproduce, distribute, or display, or create derivative works, compilations, or collective works based on the Services, the Site, or any content thereof.
  • Attempt to probe, scan, or test the vulnerability of any system or network operated by us, or breach or impair or circumvent any security or authentication measures protecting the Site.
  • Attempt to decipher, decompile, disassemble, reverse engineer, or otherwise attempt to discover or determine the source code of any software or any proprietary algorithm used to provide the Site.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
  • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Site.

ANY ATTEMPT TO DO ANY OF THE FOREGOING PROHIBITED ACTS OR TO OTHERWISE UNDERMINE THE OPERATION OF THE SERVICES OR SITE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW.  SHOULD SUCH AN ATTEMPT BE MADE, WE RESERVE THE RIGHT, IN ADDITION TO OUR OTHER REMEDIES, TO SEEK DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL OR ENTITY TO THE FULLEST EXTENT PERMITTED BY LAW.

We reserve the right, in our sole discretion, to audit or otherwise monitor any communication transmitted using the Site.  We further reserve the right at all times to review, retain, and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process, governmental request, or business assessment. NOTWITHSTANDING THE FOREGOING, WE HEREBY DISCLAIM ANY OBLIGATION TO MONITOR USE OF THE SITE OR TO RETAIN THE CONTENT ON THE SITE UNLESS OTHERWISE AGREED OR REQUIRED BY LAW.

Linked Sites

Although this site may be linked to other sites, the Foundation is not, directly or indirectly, implying any approval, association, sponsorship, endorsement or affiliation with the linked site. The Foundation has not reviewed all the sites linked to this site and is not responsible for the content of any off-site pages or any other site linked to this site. Your linking to any other off-site pages or other sites is at your own risk.

Privacy

All information we collect on this Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

No Warranty

ALL CONTENT, INFORMATION, AND MATERIALS CONTAINED ON THE SITE ARE PROVIDED TO YOU ON AN “AS IS,” “WHERE IS,” AND “WHERE AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND/OR ACCURACY. The Foundation expressly disclaims, to the fullest extent possible under the law, any and all liability for any infringement or other violation of intellectual property rights associated with the Site or its content.

The Foundation makes no warranty that the Site will meet your requirements or that the services will be uninterrupted, timely, secure, or free of errors or viruses, nor does the Foundation warrant that the results you may obtain through the Site will meet your needs or that the Foundation will correct any software defects. Any content and/or data you download or otherwise obtain through the Site comes at your own discretion and your own risk. You alone are solely responsible for any damage to your computer systems including, but not limited to, computer hardware, computer software, or connections or loss or corruption of data. No advice or information from the Foundation, whether oral or written, will create a warranty.

Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE THE FOUNDATION, TOGETHER WITH ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES, FROM ALL LIABILITY ASSOCIATED WITH YOUR USE OF THE SITE AND THE SERVICES.

You acknowledge that you are responsible for any actions you take while on the Site. You recognize that your use of the Site and any subsequent actions arising from your use of the Site are taken solely at your own risk.

IN NO EVENT WILL THE FOUNDATION, OUR DIRECTORS, OUR OFFICERS, OUR EMPLOYEES, OUR CONTRACTORS, OUR AGENTS, OR OUR REPRESENTATIVES BE LIABLE FOR DAMAGES OF ANY KIND UNDER ANY LEGAL THEORY OR UNDER ANY EQUITABLE THEORY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE AND THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, CLINICAL OUTCOMES, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.  NO CAUSE OF ACTION, REGARDLESS OF FORM, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THE SERVICES MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER SUCH ACTION HAS ACCRUED.

Indemnification

You are personally responsible for your behavior while you use the Site.

You will indemnify, defend, and hold harmless the Foundation, our licensors and affiliates, and our and their respective directors, officers, employees, contractors, agents, and representatives, from and against any and all claims, causes of action, demands, liabilities, damages, injuries, losses, costs, or expenses (including, but not limited to, reasonable attorneys’ fees and expenses) arising out of, in connection with, or resulting from:

  1. Your access to or use of the Site (or inability to use the Site), including but not limited to its Services and its content;
  2. Your violation of any of the provisions of these Terms;
  3. Any activity related to your account by you or any other person accessing the Services through your account, including, without limitation, negligent or wrongful conduct;
  4. Your violation of any third-party right, including, without limitation, any intellectual property right, publicity, confidentiality, property, or privacy right; or
  5. Your violation of any federal privacy law including, without limitation, the Children’s Online Privacy Protection Act (“COPPA”) or any other regulations or rules with respect to privacy promulgated or enforced by any federal agency.

For purposes of clarity, these indemnification obligations apply to your use of the Site, along with your use of the Site’s content and Services, other than as expressly authorized in this Terms, and your use of any information obtained from the Site or any information you provide to the Site.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Our Compliance with COPPA

THE SITE IS NOT INTENDED FOR USERS WHO ARE YOUNGER THAN THIRTEEN (13) YEARS OF AGE.  You can learn more about our compliance with the COPPA by reviewing our Privacy Policy here https://www.mfi.org/privacy-policy/. Moreover, if you are under 18 years of age, you should not provide any personally identifiable information on our Site without the knowledge and permission of your parent or guardian.

Amendment

The Foundation reserves the right to amend this Agreement at any time and for any reason and reserves the right to make changes at any time, without notice or obligation, to any of the information contained on the Site.

Severability

If any part or section of these Terms of Use shall be held illegal, unenforceable or invalid for any reason, the illegality, unenforceability or invalidity of any provision or portion of the Terms of Use shall not affect the remainder of the Terms of Use, and the Terms of Use shall be construed and enforced as if the illegal, unenforceable or invalid provision or portion thereof had not been included herein.

Non-Waiver

The failure of the Foundation to enforce at any time any term, provision or condition of these Terms of Use, or to exercise any right herein, shall in no way operate as a waiver thereof, nor shall any single or partial exercise preclude any other right herein. In no way whatsoever shall a waiver of any term, provision, or condition of these Terms of Use be valid unless in writing, signed by the Foundation, and only to the extent set forth in such writing.

Governing Law and Forum Selection

This site is designed for use in the United States of America and is to be construed and evaluated according to the laws of the United States of America.

By accessing this Site, both you and the Foundation agree that the statutes and laws of the State of Texas, without regard to conflicts of laws principles thereof, will apply to all matters arising from or relating to the use of this Site. Any disputes arising under or related in any way to these Terms of Use or to this Site shall be solely and exclusively litigated, arbitrated or otherwise heard in Dallas County, Texas. You consent to jurisdiction in any state or federal courts sitting in Dallas Country, Texas, and arbitration in Dallas County, Texas, and hereby waive any claim or defense that such forum is not convenient.

Relationship

No joint venture, partnership, employment, or agency relationship exists between you and the Foundation as a result of the Terms or use of the Services.

Force Majeure

No party to these Terms will be liable to the other party for any failure to perform any of its obligations, except payment obligations, under the Terms during any period in which such performance is delayed by circumstances beyond its reasonable control, including, but not limited to, fire, flood, war, embargo, strike, riot, unavailability of the Internet, or the intervention of any governmental authority.

Changes to the Terms of Use

We will make changes to these Terms from time to time.  The date that these Terms were last revised is identified at the top of the page.  You are responsible for ensuring that you periodically visit our Site and these Terms to check for any changes. Your continued use of the Site and Services will constitute acceptance of, and agreement to, the revised Terms.

The headings appearing at the beginning of the sections contained in these Terms and Conditions have been inserted for identification and reference purposes only and shall not be used to determine the construction or interpretation of this agreement.
